End User License Agreement

Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "You") and Show Code, Corp., a corporation incorporated under the laws of Delaware ("Show Code" or "Company"). This EULA governs your use of the "SoundBase" software suite, which includes various applications designed for the live audio and production industry, collectively referred to as the "Software."

By installing, accessing, or using the Software, you agree to be bound by the terms and conditions of this EULA. If you do not agree with the terms of this EULA, do not install or use the Software.

License Grant

License:
Subject to the terms and conditions of this EULA, Show Code grants you a non-exclusive, non-transferable, and limited license to use the Software solely for your own professional or personal use. This license is for your use of the Software and does not constitute any transfer of ownership rights.

Authorized Use:
You are permitted to use the Software on one or more computers or devices as necessary for your professional or personal needs, provided that you are the primary user of the Software.

Restrictions:
You may not:
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Software.
  • Distribute, sublicense, or transfer the Software to any third party.
  • Use the Software for any illegal, harmful, or infringing purposes.
  • Remove or alter any copyright or proprietary notices from the Software.
  • Use the Software for any illegal purpose.

Intellectual Property Rights

Ownership:
The Software is protected by copyright and other intellectual property laws. Show Code retains all rights, title, and interest in and to the Software, including all intellectual property rights.

User Content:
Any content, materials, or data you create using the Software remains your property. You grant Show Code a limited license to use such content solely for the purpose of providing support and improving the Software.

Updates and Support

Updates:
Show Code may, at its discretion, provide updates, upgrades, or new versions of the Software. Your use of such updates is governed by this EULA.

Support:
Licensee acknowledges that Show Code is under no obligation to provide (a) technical support under the terms of this Agreement, (b) to continue to develop, productize, support, repair, offer for sale or in any other way continue to provide or develop SoundBase either to Licensee or to any other party, and (c) provides no assurance that any specific errors or discrepancies in SoundBase will be corrected.

Termination

Termination by User:
You may terminate this EULA by discontinuing your use of the Software and uninstalling it from your devices.

Termination by Show Code:
Show Code reserves the right to terminate this EULA and your access to the Software at its discretion, with or without cause.

Warranty and Limitation of Liability

No Warranty:
The Software is provided "as is," without any warranties, express or implied. Show Code does not warrant that the Software will be error-free or meet your requirements.

Limitation of Liability:
Show Code shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use the Software.

Governing Law and Jurisdiction

Governing Law:
This EULA is governed by the laws of the United States of America.

Jurisdiction:
Any legal action or proceeding arising under this EULA shall be brought in the courts of the United States of America, and you consent to personal jurisdiction in such courts.

Miscellaneous

Entire Agreement:
This EULA constitutes the entire agreement between you and Show Code regarding the Software and supersedes all prior agreements.

Amendments:
Show Code Corp. may modify this EULA at any time. Notice of such modifications will be provided through the Software or on the SoundBase website.
By installing or using the SoundBase software suite, you acknowledge that you have read and understood this EULA and agree to be bound by its terms and conditions.
